Introduction

These Terms of Service (“Terms”) govern your use of the AskOverAI services (“Services”), provided by AskOverAI LLC (“Company,” “we,” “our,” or “us”). By subscribing to or using the Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

1. Services Provided

AskOverAI provides done-for-you AI agents, smart forms, mobile app integration, and related support services. The Services may include onboarding, setup, customization, hosting, limited monthly revisions, support, and other features as described on our website or in your specific plan.

AskOverAI’s mobile app functionality is delivered via a secure, hosted web application that is accessible on desktop and mobile devices. It does not require installation through the Apple App Store or Google Play Store unless otherwise expressly stated by us in writing.

Launch timelines are estimates and may vary by project. In many cases, you can launch in as little as two (2) days, depending on how quickly you complete the onboarding form.

2. Payments & Subscription

• Launch Plan (Month 1): You authorize a one-time charge of $649 (“Setup Fee”) covering onboarding, configuration, and launch of your AI agent, smart forms, and mobile app integration. The Setup Fee becomes non-refundable once work has begun, as further described in Section 2a (Refunds & Cancellation).
• Ongoing Hosting Subscription (Month 2+): Beginning in Month 2, your subscription renews automatically at $59 per month for secure hosting, platform access, daily reports, and up to two (2) included monthly revisions to your configured assets, until canceled.
• Subscriptions are billed in advance on a recurring monthly basis via Stripe or another designated payment processor. You may cancel the ongoing monthly subscription at any time prior to your next billing date to avoid further monthly charges.
• If payment fails, is declined, or your subscription is canceled, access to your AI agents, mobile app, smart forms, and related hosted assets will be suspended or terminated in accordance with Section 8 (Termination & Access Removal).
• All fees (including the Setup Fee and any add-on fees) are non-refundable, except as required by applicable law.
• Add-ons (e.g., extra agents, forms, or additional revisions) are billed at the then-current posted rates and may carry their own recurring or one-time charges.

2a. Refunds & Cancellation

Your one-time Setup Fee covers the initial configuration, build, and deployment of your AI agent, smart forms, and mobile app. This fee becomes non-refundable once our team begins any setup or development work, including reviewing your onboarding form or preparing your account.

For clarity, work is deemed to begin when your onboarding form is reviewed, your account is provisioned, or any configuration or preparation activity is initiated by our team.

If you cancel before work has started, you may request a full refund of your Setup Fee.

Monthly hosting fees (starting in Month 2) are non-refundable once billed and may be cancelled at any time prior to the next billing cycle. System access will remain active through the paid period and will automatically deactivate at the end of your final billing cycle.

3. Client Responsibilities

• You agree to provide accurate, lawful, and timely information necessary for the setup, training, and ongoing adjustment of your AI agent(s), smart forms, and mobile app configuration.
• The performance of your AI agent depends on the quality and completeness of the information you provide.
• You are responsible for reviewing and approving the content, prompts, and responses configured in your AI agent(s) and for ensuring they align with your business practices and any applicable regulatory requirements.
• You will ensure you have the necessary rights and permissions to provide any content or data (including text, images, and client information) for use in your agent(s), smart forms, and mobile app.

4. No Guarantees

We do not guarantee increased revenue, sales, leads, or business growth. AI technology has limitations and results may vary by business and industry. You acknowledge that we make no warranties, express or implied, regarding financial or business outcomes.

AskOverAI does not provide legal, financial, insurance, medical, or other professional advice. Any information, responses, or outputs generated by AI agents are for general informational purposes only. You are solely responsible for reviewing, validating, and determining the appropriateness of any outputs for your business.

5. Limitations of Liability

The Services are provided “as-is” and “as-available.” To the maximum extent permitted by law:

• We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill.
• Our total aggregate liability under these Terms shall not exceed the total fees you paid to us in the three (3) months preceding the event giving rise to the claim.

5a. Service Availability & Third-Party Services

The Services depend on third-party platforms, infrastructure, and providers. We do not guarantee uninterrupted or error-free operation and are not responsible for outages, delays, interruptions, or failures caused by third-party services, internet connectivity, hosting providers, payment processors, or AI model providers.

6. Indemnification

You agree to indemnify, defend, and hold harmless AskOverAI, its affiliates, officers, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Services; (b) content or data you provide for agent training, forms, or mobile app configuration; or (c) your breach of these Terms or applicable law.

7. Intellectual Property

All technology, software, content, mobile applications, AI models, smart forms, workflows, configurations, and proprietary processes used in delivering the Services are and shall remain the exclusive property of AskOverAI and/or its licensors. This includes, without limitation, all AI agents, mobile app instances, smart forms, workflows, and related digital assets created or configured on the AskOverAI platform.

Subject to your compliance with these Terms and while your subscription remains active, you are granted a limited, non-transferable, non-exclusive, revocable license to access and use your configured AI agent(s), mobile app, and forms for your internal business purposes. This license does not transfer ownership and does not grant you any rights to copy, export, migrate, sublicense, or otherwise use the underlying technology or configurations outside of the AskOverAI platform.

Digital assets created or configured as part of the Services (including AI agents, mobile app instances, smart forms, and workflows) are not portable or transferable to third-party platforms. They cannot be exported, downloaded in a usable form, or migrated to another provider. Upon termination or cancellation of your subscription, your license to access and use these assets ends immediately, as further described in Section 8.

8. Termination & Access Removal

• You may cancel your subscription at any time via Stripe or by contacting us. Cancellation takes effect at the end of your current billing period unless otherwise stated.
• Upon cancellation, non-payment, or termination of your subscription for any reason, all access to your AI agents, mobile app, smart forms, and associated hosted assets will be disabled. Links, embeds, and mobile app access may cease functioning, and hosted assets may be removed from the AskOverAI platform.
• Because your AI agent, mobile app, and smart forms operate exclusively within the AskOverAI platform, they are not transferable or exportable to another provider. You may request an export of your underlying lead or submission data (where technically feasible) prior to cancellation, but you will not receive an export of the agent, app, forms, prompts, workflows, or other proprietary configurations.
• We reserve the right to suspend or terminate Services immediately for violations of these Terms, for unlawful or harmful activity, or for repeated payment failures.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of Florida, without regard to its conflicts of laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in such jurisdiction.

10. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on our website with a revised “Effective Date.” Your continued use of the Services after any update constitutes your acceptance of the revised Terms.
