Introduction

These Terms of Service (“Terms”) govern your use of the AskOverAI services (“Services”), provided by AskOverAI LLC (“Company,” “we,” “our,” or “us”). By subscribing to or using the Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

1. Services Provided

AskOverAI provides done-for-you AI agents, smart forms, and related support services. The Services may include onboarding, setup, customization, hosting, limited monthly revisions, support, and other features as described on our website or in your subscription plan.

2. Payments & Subscription

• Subscriptions are billed in advance on a recurring monthly basis via Stripe.
• Your subscription will renew automatically unless canceled prior to the renewal date.
• If payment fails, is declined, or your subscription is canceled, access to your AI agents, smart forms, and related deliverables will be suspended or terminated immediately.
• All fees are non-refundable, except as required by applicable law.

2A. Free Trial Terms

AskOverAI may offer a 7-Day Free Trial (“Trial”) to allow new clients to preview our Services before subscribing. By enrolling in the Trial, you agree to the following conditions:

• The Trial includes one (1) AI Agent and one (1) Smart Form in demo mode, hosted securely by AskOverAI.
• No payment information is required for the Trial, and no charges will occur unless you choose to subscribe to a paid plan.
• The Trial period begins once your onboarding form is received and your demo setup is activated.
• At the end of the 7-day period, your Trial access will automatically expire and your AI Agent and Smart Form will be deactivated.
• All Trial data, configurations, and related content may be deleted after expiration unless you upgrade to a paid plan before the Trial ends.
• No revisions, custom integrations, or third-party connections are included in the Trial.
• AskOverAI reserves the right to modify, suspend, or terminate the Trial offer at any time without notice.

3. Client Responsibilities

• You agree to provide accurate, lawful, and timely information necessary for the setup, training, and maintenance of your AI agent(s).
• The performance of your AI agent is directly dependent on the quality and completeness of the information you provide.
• You are responsible for reviewing and approving the content, workflows, and responses configured in your AI agent(s).
• You will ensure you have the necessary rights and permissions to provide any content or data for use in your agent(s).

4. No Guarantees

We do not guarantee that the Services will result in increased revenue, sales, leads, or business growth. AI technology has limitations and results may vary depending on your business, industry, and customer interactions. You acknowledge and agree that we make no warranties, express or implied, regarding financial or business outcomes.

5. Limitations of Liability

The Services are provided “as-is” and “as-available.” To the maximum extent permitted by law:

• We disclaim all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill.
• Our total aggregate liability under these Terms shall not exceed the total fees you paid to us in the three (3) months preceding the event giving rise to the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless AskOverAI, its affiliates, officers, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Services; (b) content or data you provide for agent training; or (c) your breach of these Terms or applicable law.

7. Intellectual Property

All technology, software, content, and proprietary processes used in delivering the Services are and shall remain the exclusive property of AskOverAI and/or its licensors. Subject to your compliance with these Terms and while your subscription remains active, you are granted a limited, non-transferable, non-exclusive license to access and use your configured AI agent(s) for your internal business purposes.

8. Termination & Access Removal

• You may cancel your subscription at any time via Stripe or by contacting us. Cancellation will be effective at the end of your current billing period unless otherwise stated.
• Upon cancellation or non-payment, all access to your AI agents, smart forms, and associated services will be disabled. Links and embeds may cease functioning, and hosted assets may be removed.
• We reserve the right to suspend or terminate Services immediately for violations of these Terms or for unlawful or harmful activity.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of [Your State], without regard to its conflicts of laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in such jurisdiction.

10. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on our website with a revised “Effective Date.” Your continued use of the Services after any update constitutes your acceptance of the revised Terms.
